(a)  Belding India Limited (formerly known as Synthiko Foils Limited), a company incorporated under the Companies Act, 1956 and continuing under the Companies Act, 2013, with its registered office in the State of Maharashtra within the jurisdiction of the Registrar of Companies, Pune, India (“Belding”, “Company”, “we”, “us”, or “our”); and

 

(b)  the individual or entity accessing or using this Website (“User”, “you”, or “your”).

 

1.2  Formation of Agreement

By accessing or using the Website, including by browsing any page, submitting any form, or downloading any content, you acknowledge and agree that:

  • You have read and understood these Terms in full;
  • You agree to be legally bound by these Terms and by our Privacy Policy https://www.belding.ltd/, which is incorporated into these Terms by reference;
  • You are of legal age and have the legal capacity to enter into a binding agreement under the laws of India;
  • If you are accessing the Website on behalf of an entity (such as a company or organisation), you represent and warrant that you have the authority to bind that entity to these Terms, and references to “you” shall include that entity.

Belding reserves the right to amend, modify, or replace these Terms at any time in its sole discretion. Amendments will be effective upon publication on the Website. 2.  About Belding India Limited and the Belding Group

 

2.1  Company Overview

Belding India Limited is an Indian company limited by shares, operating as a holding and operating company across a diversified group of entities. The Company’s principal business activities include:

  • Design, research and development, engineering, manufacturing, fabrication, assembly, and procurement of mechanical, electrical, electronic, and industrial equipment, components, systems, enclosures, cabinets, and customised engineering solutions;
  • Engineering, Procurement and Construction (EPC) activities, including planning, development, construction, commissioning, operation, and maintenance of data centres, power generation and transmission systems, renewable energy projects, and battery energy storage systems;
  • Manufacture, assembly, and supply of energy storage solutions, batteries, battery packs, automation products, semiconductors, digital chips, and data centre infrastructure components;
  • Provision of energy management systems and related technology services to industrial estates, commercial facilities, data centres, smart cities, and utility companies;
  • Technology solutions and systems integration for government, defence, and public sector clients through subsidiary entities.

 

2.2  The Belding Group

The Belding Group comprises Belding India Limited and its subsidiaries and associates, including:

 

  • DC&T Global Private Limited: EPC of data centres and infrastructure; renewable energy; semiconductors; BESS.
  • DC&T Defence Limited: research, engineering, manufacturing, and infrastructure solutions for defence, government, and commercial sectors.
  • BESS Limited: battery energy storage systems, solar PV, hybrid energy, EPC and O&M services.
  • Metafin Technology Private Limited: mechanical and electrical equipment manufacture, industrial automation, special purpose machinery.

 

2.3  Purpose of the Website

The Website is maintained by Belding for the following purposes:

  • Corporate communication, brand presentation, and information dissemination to stakeholders;
  • Marketing and business development in connection with the Company’s and the Group’s services and capabilities;
  • Recruitment and talent acquisition;
  • Investor and media relations;
  • Submission of business enquiries, project enquiries, and other communications.

 

The Website does not constitute a platform for the purchase or sale of products or services, nor does it constitute an offer or invitation to invest in the securities of Belding India Limited or any Group entity.

 

3.  Definitions

In these Terms, unless the context requires otherwise, the following expressions have the meanings given to them below:

 

“Applicable Law”  means all applicable laws, statutes, regulations, rules, notifications, guidelines, circulars, orders, and judicial decisions of India as may be in force from time to time.

“Belding Group”  means Belding India Limited and all entities that are subsidiaries, associates, or affiliates thereof, including DC&T Global Private Limited, DC&T Defence Limited, BESS Limited, Metafin Technology Private Limited, and any other entity added to the Group from time to time.

“Content”  means all text, graphics, logos, icons, images, audio and video clips, data compilations, software, code, documents, and any other material published on, available through, or forming part of the Website.

“Feedback”  means any suggestions, ideas, comments, recommendations, or other information provided by Users to the Company regarding the Website or the Company’s business.

“Intellectual Property Rights”  means all patents, trade marks, service marks, trade names, domain names, copyright, database rights, design rights, rights in confidential information, and all other intellectual property rights of any nature, whether registered or unregistered, and including all applications and rights to apply for and be granted, renewals, and extensions of such rights.

“Personal Data”  means any data about an individual who is identifiable by or in relation to such data, as defined under the Digital Personal Data Protection Act, 2023 and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.

“Privacy Policy”  means the Website Privacy Policy of Belding India Limited, as published on the Website and amended from time to time.

“Terms”  means these Website Terms of Use, as amended from time to time.

“Third Party”  means any person or entity other than Belding and the User.

Nothing in these Terms or on the Website grants or implies any licence or right to use any such trade mark. Unauthorised use of any Belding Group trade mark is strictly prohibited and may give rise to civil and criminal liability.

 

5.3  Limited Licence for Personal, Non-Commercial Use

In the event of any dispute, claim, or controversy arising out of or in connection with these Terms or your use of the Website, the parties shall first attempt to resolve the matter amicably through good-faith negotiations. Either party may initiate this process by providing written notice to the other specifying the nature of the dispute and the relief sought. The parties shall engage in negotiations for a period of 30 (thirty) days from the date of such notice (or such longer period as the parties may agree in writing) before resorting to formal dispute resolution.

 

14.3  Arbitration

If the dispute is not resolved through amicable negotiation within the timeframe specified in Clause 14.2, the dispute shall be finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended), including any statutory modifications or re-enactments thereof. The following provisions shall apply to such arbitration:

  • Seat and Venue: The seat and venue of arbitration shall be Pune, Maharashtra, India.
  • Arbitrator: The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties. If the parties cannot agree on a sole arbitrator within 15 days of the commencement of arbitration proceedings, the arbitrator shall be appointed in accordance with the Arbitration and Conciliation Act, 1996.
  • Language: The arbitration proceedings shall be conducted in the English language.
  • Award: The arbitral award shall be final and binding on the parties and may be enforced in any court of competent jurisdiction.
  • Costs: Each party shall bear its own legal costs unless the arbitrator determines otherwise in the award.

 

14.4  Jurisdiction for Interim Relief

Notwithstanding the arbitration clause above, either party may seek urgent or interim relief (including injunctions) from the courts at Pune, Maharashtra, India, where such relief is necessary to prevent irreparable harm or to preserve the status quo pending the outcome of arbitration.

 

14.5  Class Action Waiver

To the fullest extent permitted by Applicable Law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.

 

15.  Termination of Access

 

15.1  Termination by Belding

Belding reserves the right to suspend or terminate your access to the Website immediately and without prior notice if:

  • You breach any provision of these Terms or any Applicable Law;
  • We reasonably believe that your conduct is harmful to the Website, the Company, other Users, or any Third Party;
  • We are required to do so by Applicable Law or any order of a competent authority;
  • We decide, in our sole discretion, to discontinue the Website or any portion thereof.

 

15.2  Effect of Termination

Upon termination of your access:

  • All rights granted to you under these Terms will immediately cease;
  • You must immediately cease all use of the Website and any Content;
  • Any outstanding obligations you have incurred under these Terms shall survive termination.

 

15.3  Survival

The following provisions of these Terms shall survive any termination or expiry: Section 3 (Definitions), Section 5 (Intellectual Property Rights), Section 8 (Disclaimer of Warranties), Section 9 (Limitation of Liability), Section 10 (Indemnification), Section 14 (Governing Law and Dispute Resolution), and Section 16 (General Provisions).

 

16.  General Provisions

 

16.1  Entire Agreement

These Terms, together with the Privacy Policy and any other policies or notices published on the Website, constitute the entire agreement between you and Belding with respect to your use of the Website. They supersede all prior negotiations, representations, warranties, agreements, and understandings between the parties relating to the subject matter hereof.

 

16.2  Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable under Applicable Law, such provision shall be deemed severed from these Terms. The remaining provisions shall continue in full force and effect and shall be interpreted to give effect to the original intent of the parties to the maximum extent permitted by Applicable Law.

 

16.3  Waiver

No failure or delay by Belding in exercising any right, power, or privilege under these Terms shall constitute a waiver of that right, power, or privilege. No single or partial exercise of any right, power, or privilege shall preclude any other or further exercise thereof or the exercise of any other right, power, or privilege. All waivers must be in writing and signed by an authorised representative of Belding to be effective.

 

16.4  No Partnership or Agency

Nothing in these Terms shall be construed to create a partnership, joint venture, employment relationship, or agency relationship between you and Belding. You have no authority to bind or make any representation on behalf of the Company.

 

16.5  Force Majeure

Belding shall not be liable for any failure or delay in performing any of its obligations under these Terms where such failure or delay results from circumstances beyond Belding’s reasonable control, including but not limited to:

  • Acts of God, natural disasters, floods, earthquakes, storms, or pandemics;
  • War, civil unrest, riots, terrorism, or armed conflict;
  • Government action, regulation, embargo, or sanction;
  • Power failures, internet outages, or telecommunications infrastructure failures;
  • Strikes, lockouts, or industrial disputes affecting service providers.

Belding shall use commercially reasonable efforts to mitigate the effects of a force majeure event and to resume normal performance as soon as reasonably practicable.

 

16.6  Assignment

You may not assign, transfer, delegate, or otherwise deal with your rights or obligations under these Terms without the prior written consent of Belding. Belding may assign or transfer these Terms (in whole or in part) to any successor entity, affiliate, or purchaser of all or substantially all of Belding’s assets, without your consent.

 

16.7  Notices

All notices, requests, demands, or other communications required or permitted under these Terms shall be in writing and shall be addressed to Belding at the contact details set out in Section 17. Notices to you may be delivered by posting on the Website, by email to the address you have provided, or by other means at Belding’s discretion.

 

16.8  Language

These Terms have been drafted in the English language. In the event of any conflict between the English language version and any translation, the English language version shall prevail.

 

16.9  Headings

Section headings in these Terms are for convenience only and do not affect the interpretation of any provision.
